The contract that governs your event. Written like a person.

This is the public summary of our standard master services agreement. Active customers receive a signed counterpart. Last updated April 2026.

Who is contracting

Simpli-FI Events is operated by Simpli-FI OS LLC, a Texas limited liability company. Your contracting party is the LLC, not a person.

What we deliver

The services described in your signed order form. By default, Companion ($4,995 per event), Conference Bundle ($9,995 per event), White-Label ($24,995 per year). Add-ons priced per the published pricing page. If we agree to anything custom, it goes on the order form.

Payment terms

Per-event tiers are invoiced 60 days before event start, net 30. White-Label is invoiced annually on contract anniversary, net 30. Metered Simpli-FI ID add-on is invoiced monthly in arrears for the prior month’s registrants. Texas sales tax is applied to the taxable portion of the invoice per Texas Tax Code Rule 3.330. Other-state customers see their applicable rate.

Refunds and cancellation

Per-event tiers carry a 14-day full-refund window from contract signature. After 14 days, refunds are prorated against the milestone schedule on the order form. White-Label has a 30-day cancellation window before each annual renewal. There is no multi-year lock-in by default.

Who owns what

You own your event content: agenda, speakers, sponsors, member directories, attendee data, your brand. We own the platform code and the underlying templates. Sponsor narrative profiles authored by us are licensed to you in perpetuity for use connected to the event.

Confidentiality

Information either party marks confidential, or that a reasonable person would treat as confidential, stays confidential during the term and for 3 years after. The standard exceptions apply: public information, independently developed information, information received from a third party without confidentiality obligations.

Service levels

Companion sites carry a 99.9% monthly uptime target on Vercel infrastructure. App and live engagement layers carry the same target during event windows. Scheduled maintenance is announced 7 days in advance and runs outside business hours when feasible.

Liability

Our total liability under any order form is capped at the fees you paid us in the 12 months before the claim. Neither party is liable for indirect, special, consequential, or punitive damages. Standard carve-outs apply for confidentiality breach, indemnification, and payment obligations.

Indemnification

We indemnify you against third-party intellectual-property claims arising from the platform code we wrote. You indemnify us against third-party claims arising from your event content, attendee data, or sponsor relationships. Standard procedural mechanics apply: the indemnifying party controls defense and cannot settle in a way that admits liability for the indemnified party without consent.

Term and termination

Per-event contracts run from signature through 30 days after event end. White-Label runs 12 months. Either party may terminate for uncured material breach on 30 days written notice. We may suspend service immediately for non-payment over 60 days past due.

Governing law

Texas law governs. Disputes resolve by binding arbitration in Denton County, Texas, under the AAA Commercial Rules. Either party may seek injunctive relief in a court of competent jurisdiction for confidentiality or IP claims.

Changes

We update this page when we update the standard contract. Active customer terms are governed by the order form they signed, which controls if there is any conflict between this summary and the signed agreement.
